Sphere of Influence — Stated Intent, Verified Commitment

A System SOI (Sphere of Influence / Statement of Intent) is the formal document that defines how CircularOS engages with an institutional partner. It is not a memorandum of understanding. It is not a contract. It is the architecture document that precedes the contract — the agreed framework of mutual commitment that both parties sign before a vehicle is activated and Heads of Terms are drafted.

The SOI defines three things: what CircularOS commits to in each institutional category, what the institution commits to in return, and the governance triggers that move the relationship from observer status to operational partnership to sovereign equity.

MD-382 covers five institutional categories: Council · Corporate · Foundation · Academic · Regulatory. Each category has its own commitment framework and activation pathway, mapped to the licence structure and the vehicle architecture defined in MD-376I.

Section 1 · Five Institutional Categories

Five Categories. One Sovereign Framework.

The CircularOS ecosystem is structured to accept five types of institutional partner. Each maps to a vehicle type (council, corporate, foundation, academic, or regulatory interface), a licence entry point, and a specific commitment framework. No two categories are identical — but all operate under the same sovereign governance layer.

Section 2 · Mutual Commitments Framework

What Each Party Commits To

The SOI is a two-way document. CircularOS makes formal commitments to every institutional partner. Institutions make formal commitments in return. Both sets of commitments are recorded in the Truth Ledger at the point of SOI activation — SHA-256 sealed, tamper-proof, and auditable.

The Institution Commits To

Verified Participation

  • Minimum verified material flow declaration within 90 days of SOI activation (volume TBC by category)
  • Governance head appointment — a named institutional lead who holds responsibility for the vehicle
  • Participation in the 18/18 checkpoint process for all material routed through the vehicle
  • No parallel sovereign claims — the institution does not simultaneously seek equivalent verification infrastructure from a competing standard during the SOI period
  • Reporting cadence: quarterly data submission to the Live Ledger API (or equivalent manual submission for smaller institutions)
  • Heads of Terms participation — engagement with the HoT process within 60 days of SOI signing
  • Non-disclosure of pricing bands until Heads of Terms are formally agreed (indicative bands are public; institutional-specific pricing is confidential)
  • Board or leadership sign-off on the SOI — a named signatory at governance level
Section 3 · Governance Triggers

The Events That Move an Institution Through the System

An institution's position in the sovereign architecture is not static. It moves through governance triggers — formal events that upgrade the relationship from Observer to Operational to Governance Partner to Sovereign Partner. Each trigger is defined, dated, and recorded in the Truth Ledger.

SOI Signing · Observer Status Activated
The institution's governance head signs the SOI. Observer status is activated. Read-only Live Ledger access granted. The SOI is recorded in the Truth Ledger with a SHA-256 hash. Clock starts on the 60-day Heads of Terms drafting window.
T2
Heads of Terms Signed · Operational Status Activated
HoT are signed by both parties. The institutional vehicle is activated (council, corporate, or foundation structure confirmed). The licence is assigned (L1–L5 depending on category). The 7% covenant mechanism is activated. dPRN earn begins on first verified tonne.
T3
First Verified Tonne · Financial Architecture Activated
The institution's first verified tonne is processed through the 18/18 checkpoint system. £450 dPRN is minted. 7% covenant taken first. The remainder distributed according to the vehicle agreement. The 40-Meal Bond is linked (for Foundation category). Circularity Dividend™ calculation begins.

Verified Annual Throughput Milestone · Governance Partner Status
The institution reaches its first annual throughput milestone (volume TBC by category — typically 100t for smaller institutions, 1,000t for corporates, 5,000t for councils). Governance Partner status is activated. The vehicle head is formally appointed. Board-level reporting integration confirmed. The Sovereign Architect reviews for direct stake eligibility.

Sovereign Architect Review · Sovereign Partner Status
At the Sovereign Architect's discretion — following demonstrated sustained contribution, verified throughput, and institutional governance integrity — a Sovereign Partner review is convened. Direct institutional stake in the 42-entity architecture is confirmed. Equity position documented. Governance rights at the architecture level activated. This is the highest position in the institutional tier.
Section 4 · Activation Checklist

What Needs to Happen Before an SOI Is Active

The following checklist must be completed before an institution's SOI is formally activated. This is the minimum viable governance package for Observer status. Further steps are required for Operational and Governance Partner status — those are detailed in the Heads of Terms process.

Named Governance Signatory Identified
A board-level or senior leadership-level signatory is identified and confirmed. This person holds responsibility for the institution's vehicle. They do not need to be a technical expert — they need to be the governance anchor.
Institution Category Confirmed
The institution is formally assigned to one of the five categories (Council / Corporate / Foundation / Academic / Regulatory). This determines the vehicle type, the licence entry point, and the commitment framework that applies.
Entry Licence Selected
The institution selects its entry licence (L1–L5). This is indicative at SOI stage — it is confirmed in the Heads of Terms. The SOI records the institution's stated preference, not a binding commitment.
Initial Material Flow Declaration
The institution provides a preliminary declaration of expected verified material flow. This is not a guarantee. It is a planning figure used to size the vehicle, assign the governance head, and set the throughput milestone for T4. Minimum: 10t/year estimated. No upper limit.
NDA / Non-Parallel Commitment Acknowledged
The institution acknowledges the non-parallel commitment: it will not simultaneously engage equivalent competing verification infrastructure during the SOI period. The institutional-specific pricing band is covered by standard NDA terms.
SOI Document Signed
The SOI is signed by the named governance signatory. Countersigned by the Sovereign Architect (or designated representative). SHA-256 hash recorded in the Truth Ledger. Observer status activated. 60-day HoT clock starts.
Section 5 · Sphere of Influence

Where CircularOS Extends Its Reach Through Institutional Partners

The "Sphere" in Sphere of Influence refers to the operational territory that each institutional category extends into. Together, the five categories cover the complete institutional landscape — public sector, private sector, civil society, knowledge, and regulation. Each category multiplies the sovereign architecture's reach in a distinct direction.

The five categories are not competing. They are complementary. A council partner strengthens the corporate partner's supply chain evidence. A regulatory partner makes both categories' compliance credentials formal. The SOI system is designed for all five to operate simultaneously — each multiplying the others' reach.

Section 6 · The SOI Declaration · Draft Language

Formal Statement of Intent — Template Language

[Institution Name] ("the Institution") and CircularOS / EGZ4 Holdings ("the System") hereby enter into a formal Statement of Intent under the System SOI framework (MD-382). The Institution acknowledges the sovereign architecture as described in MD-376I and commits to the mutual obligations defined in this document.

The Institution enters as a [Council / Corporate / Foundation / Academic / Regulatory] partner at [Observer / Operational] status. The stated entry licence is [L1–L5]. The named governance signatory is [Name, Title]. The declared material flow estimate is [volume] tonnes per year.

Both parties commit to engaging the Heads of Terms process within 60 days of this SOI being countersigned. Both parties commit to the mutual obligations framework as defined in MD-382 §2. Both parties acknowledge that this SOI is not a binding financial contract — it is the governance framework that precedes one.
